QUOTESHOP PLATFORM - USER TERMS AND CONDITIONS

PLEASE READ THESE USER TERMS AND CONDITIONS PRIOR TO USING THE PLATFORM AND/ OR ANY QUOTESHOP IP. THESE USER TERMS AND CONDITIONS CONSTITUTE A BINDING AGREEMENT BETWEEN A USER AND QUOTESHOP REGARDING THE USER’S ACCESS TO AND USAGE OF THE PLATFORM AND BY ACCESSING OR USING THE PLATFORM, THE USER AGREES TO BE BOUND BY THESE TERMS AND CONDITIONS.

1. Purpose & Application

1.1.

QuoteShop makes available an online platform for trades people and suppliers that consists of software applications configured to facilitate the management of the User’s business, including the preparation of quotes and real time ordering of goods and services from Suppliers.

1.2.

The User’s right to access and use the Platform is subject to and conditional upon the User agreeing to be bound by these Terms and Conditions.

2. Access to Platform

2.1.

Use

2.1.1.

The User acknowledges and agrees that the right to access and use the Platform is only for the Subscription Term and only for the following purposes:

2.1.1.1.

to access and use the Platform for the purposes of managing the User’s business, including preparing quotes, determining product pricing and availability and making real time orders of goods and services from Suppliers;

2.1.1.2.

for the benefit of providing trade services to the User’s clients.

2.1.2.

The User acknowledges and agrees that the use of the Platform and any Content displayed on or produced by the Platform is at the User’s own risk.

2.2.

Accounts

The User must:

2.2.1.

keep its username and password secure and confidential and not share its username and password with third parties including any other Users;

2.2.2.

immediately notify QuoteShop if there is a breach of security or any unauthorised access to the Account;

2.2.3.

immediately verify the identity of the Account information upon request by QuoteShop;

2.2.4.

keep all information provided in the registration process for the Account current including payment details, email addresses, usernames and passwords;

2.2.5.

not use false or misleading information when registering the Account or using the Platform.

2.3.

Protection from Damage or Unauthorised Use

The User must ensure that reasonable steps are taken to protect the QuoteShop IP at all times from misuse, damage or destruction or any form of unauthorised use or access. QuoteShop may introduce security features to make User accounts more secure, such as multi-factor authentication. Where the use of security features is optional, the User is responsible (meaning QuoteShop is not liable) for any consequences of not using those features. QuoteShop strongly encourages Users to use all optional security features.

2.4.

Suspend Access to the Platform

QuoteShop may immediately and temporarily suspend access to the Platform and other QuoteShop IP if QuoteShop forms the reasonable view that the User is in breach of these Terms and Conditions.

2.5.

Use of Third Party Services

When a User uses the Platform, the User may also be using the services of one or more third parties, such as a wireless carrier or a mobile provider. The User acknowledges that these third party services may be subject to the separate policies, terms of use, and fees of these third parties.

2.6.

Suppliers and Outbound Links

2.6.1.

The Platform contains links to Supplier and third-party websites and resources. These linked sites are provided solely as a convenience to Users and not as an endorsement by QuoteShop. QuoteShop makes no representations or warranties and accepts no responsibility or liability for the availability, correctness, accuracy, performance or quality of the linked site or any content, software, service or application found at any linked site. QuoteShop may receive payments and/or commissions from operators of linked sites that may be related to goods or services supplied by the operator as a result of the User linking to the third party website from the Platform or data that the third party accesses about Users through the Platform with the Users’ consent.

2.6.2.

QuoteShop allows Suppliers to list and sell their goods and services on the Platform. The relevant Supplier is indicated on the respective product detail page. While QuoteShop helps facilitate transactions that are carried out through the Platform, QuoteShop is neither the buyer nor the seller of the Supplier's items. Accordingly, the contract formed at the completion of a sale for Suppliers goods and services is solely between the Supplier and the User. QuoteShop is not a party to this contract nor assumes any responsibility arising out of or in connection with it nor is it the Supplier's agent.

2.6.3.

The Supplier is responsible for the sale of their goods and services and for dealing with any User claims or any other issue arising out of or in connection with the contract between the Supplier and the User.

2.7.

Content

The Content on the Platform is reliant upon information supplied by third party Suppliers. To the maximum extent permitted by law, QuoteShop does not warrant the accuracy, adequacy or completeness of the Content, and the User should not rely upon the Content as being accurate, complete or up to date.

2.8.

Inbound Links

QuoteShop generally encourages and agrees to Users linking to the Platform through a plain text link on the User’s website without the need for agreement between the User and QuoteShop. However, linking to any other page of the website is strictly prohibited, without express written permission from QuoteShop.

2.9.

Errors and problems

QuoteShop does not guarantee that the Platform will be free from viruses, or that access to the Platform will be uninterrupted. QuoteShop strives to maintain the availability of the Platform but will, on occasion, need to perform maintenance and this may require a period of downtime. QuoteShop will endeavour to minimise any such downtime. Where planned maintenance is being undertaken, QuoteShop will attempt to notify Users in advance but cannot guarantee it. QuoteShop accepts no liability or responsibility for interruption to the User’s business caused by the Platform being unavailable.

3. User Obligations

3.1.

User Obligations

3.1.1.

Act in compliance with all laws, regulations, and codes of conduct and any instructions, directions, requirements and requests made by any statutory, governmental, industry or regulatory body and act in accordance with the highest standards of ethics and business practice;

3.1.2.

Provide QuoteShop with all assistance necessary to resolve any issues, including providing any documented examples of any Defect which may assist QuoteShop to resolve the Defect;

3.1.3.

Not use any method or process (including data scraping, collection or accumulation tool, robot, spider or scripted responses) for the purposes of obtaining, processing, copying, replicating, distributing, reconfiguring, republishing, viewing, assessing, analysing, modifying or repackaging the content displayed on the Platform;

3.1.4.

Not engage third parties to provide any services in relation to the Platform without prior written consent of QuoteShop;

3.1.5.

Only use the Platform in accordance with these Terms and Conditions;

3.1.6.

Not use, adapt, modify, alter, copy, reproduce, reverse engineer, disassemble, merge, decode in any way or decompile in whole or any part of the Platform or the QuoteShop IP, by any means;

3.1.7.

Not do anything which attempts to disrupt the integrity or performance of the Platform including send or store any viruses, worms, time bombs or any other harmful or malicious code, files, scripts, agents or programs to the Platform;

3.1.8.

Not threaten, institute, invalidate, challenge or put in dispute the ownership, use or title of the Platform or the QuoteShop IP anywhere in the world;

3.1.9.

Not infringe the QuoteShop IP or the Intellectual Property Rights of any third party and must not apply the QuoteShop Trade Marks to any material generated by the User without QuoteShop’s prior consent;

3.1.10.

Not at any time, act in a manner which prejudices the goodwill or reputation of QuoteShop or any Intellectual Property Rights of QuoteShop;

3.1.11.

Not remove any copyright or proprietary notice or a QuoteShop Trade Mark from any content displayed on the Platform without the express written agreement of QuoteShop;

3.1.12.

Not register or use a business, company or association (whether incorporated or not) name, domain name, social media account or trade mark which is identical, substantially identical with or deceptively similar to, capable of being confused with or contains the QuoteShop Trade Marks anywhere in the world without the express written agreement of QuoteShop;

3.1.13.

Use its best endeavors to promote its use of the Platform under or by reference to the QuoteShop Trade Marks;

3.1.14.

Not sub-licence any rights obtained under these Terms and Conditions;

3.1.15.

Must comply with any directions of QuoteShop or its authorised representative in relation to the Platform;

3.1.16.

Ensure the Platform is not used for re-sale or commercial or other distribution to third parties;

3.1.17.

Ensure all content uploaded to the Platform is lawful;

3.1.18.

Not assist, support or encourage any person to do any of the things contained in this clause.

4. Intellectual Property

4.1.

Ownership and User Warranties

The User acknowledges, agrees and warrants that:

4.1.1.

It does not obtain any ownership rights in the Platform or the QuoteShop IP; and

4.1.2.

It does not obtain any ownership rights in any third party software integrated in the Platform.

4.2.

Improvements to the Platform

4.2.1.

Any Improvement to the Platform, regardless of the author or developer, shall be the property of QuoteShop including customised reporting or invoicing templates created by the User and QuoteShop shall have the sole exclusive right to seek, obtain and/or maintain Intellectual Property Rights protection in respect of such Improvements at its complete discretion notwithstanding that the User may have contributed to the development of those Improvements including any suggestions, enhancement requests, recommendations or feedback provided by the User.

4.2.2.

The User assigns to QuoteShop all of its right, title and interest in and to any Improvements made to the Platform and/or the QuoteShop IP, any Intellectual Property Rights created or developed as a result of the User’s use of the Platform or QuoteShop IP and the User agrees and undertakes to sign any documents and provide every assistance to transfer the same.

4.2.3.

The User acknowledges that the rights assigned to QuoteShop in clause 4.2.2 may be assigned by QuoteShop to a third party.

4.2.4.

These Terms and Conditions shall apply to any Improvement as modified or altered.

4.3.

Infringements

The User must take reasonable care to detect any actual, threatened, suspected or anticipated infringement of the Platform or any other unauthorised use of the QuoteShop IP (Infringement).

4.4.

Notification of Infringement

If the User becomes aware of an Infringement, the User must:

4.4.1.

Immediately notify QuoteShop;

4.4.2.

Not take any steps including initiating or responding to an Infringement without the prior written consent of QuoteShop which may be withheld in its absolute discretion;

4.4.3.

Do everything QuoteShop reasonably requires to assist it in relation to that action.

5. Confidential Information

5.1.

Obligation Not to Disclose Confidential Information

Each Party agrees to maintain the confidential nature of the other Party’s Confidential Information and must not, without the prior written consent of the other Party, disclose or otherwise provide any Confidential Information of the other Party to any person other than its associates who have a need to know for carrying out its obligations under these Terms and Conditions and who have agreed to keep the Confidential Information confidential and are bound by the same confidentiality obligations as set out in this clause 5 in a written agreement.

5.2.

Obligation to Implement Reasonable Security Measures

Each Party must:

5.2.1.

At least use the same efforts to protect the other Party’s Confidential Information as it uses to protect its own proprietary information; and

5.2.2.

Implement reasonable security measures to safeguard the other Party’s Confidential Information from unauthorised use or copying.

5.3.

Obligation to Prevent Significant Loss or Damage

The User acknowledges and agrees that the disclosure of QuoteShop’s Confidential Information to any person or entity could diminish its value and cause significant loss or damage to QuoteShop and the User is obliged to minimise any such loss or damage.

5.4.

Duration of Obligations

The obligations in this clause 5 survive termination of these Terms and Conditions.

6. Privacy and User Data

6.1.

Privacy Policy

6.1.1.

QuoteShop is committed to safeguarding the privacy of the User’s personal information and will treat all personal information received by the User with care and in accordance with the Australian Privacy Principles under the Privacy Act 1988.

6.1.2.

QuoteShop collects and processes the User’s personal and sensitive information in accordance with the terms of QuoteShop’s privacy policy which is available on QuoteShop’s website.

6.2.

User Data

When the User enters or uploads data into the Platform, QuoteShop does not own that data but the User grants QuoteShop a licence to use, copy, transmit, store, analyse, and back up all data the User submits through the Platform, including personal data of the User and others, to:

6.2.1.

Enable the User to use the Platform;

6.2.2.

Allow QuoteShop to improve, develop and protect the Platform;

6.2.3.

Send the User information QuoteShop thinks may be of interest to the User based on the User’s marketing preferences;

6.2.4.

Disclose to third party service providers and partners to enable and support such purposes.

6.3.

When the User uses the Platform, QuoteShop may create anonymised statistical data from the User data and usage of the Platform, including through aggregation. Once anonymised, QuoteShop may use it for QuoteShop’s own purposes, such as to provide and improve QuoteShop’s services and the Platform, to develop new services, to identify business trends, and for other uses QuoteShop communicates to the User.

6.4.

The User acknowledges that data loss is an unavoidable risk when using any technology. The User is responsible for maintaining copies of the User data entered into the Platform. QuoteShop is not liable for the loss of User data.

6.5.

If the User transacts with Suppliers through the Platform, QuoteShop will use the User’s personal data to facilitate that transaction. Where QuoteShop receives data as a result of that transaction, QuoteShop will use that data in line with QuoteShop’s privacy policy and these Terms and Conditions.

7. Warranties

7.1.

QuoteShop Warranties

7.1.1.

All information supplied by QuoteShop to the User relating to the Platform will be to the best of the knowledge and belief of QuoteShop, true, accurate, reliable and current;

7.1.2.

Use of the QuoteShop IP will not infringe on the Intellectual Property Rights of a third party;

7.1.3.

It has the power and authority to enter into and be bound by these Terms and Conditions and to perform and observe all of its terms.

7.2.

User Warranties

The User warrants that:

7.2.1.

It will comply with all of the User’s obligations under these Terms and Conditions;

7.2.2.

Any statement, representation, warranty, undertaking or other provision not expressly set out in these Terms and Conditions has not been relied upon and shall have no force or effect;

7.2.3.

The User’s data shall not contain any viruses, worms, time bombs or any other harmful or malicious code, files, scripts, agents or programs;

7.2.4.

To the best of its knowledge, the User Data uploaded to the Platform does not and will not infringe the Intellectual Property Rights of a third party;

7.2.5.

It has the power and authority to enter into and be bound by these Terms and Conditions and to perform and observe all of its terms; and

7.2.6.

It is solely responsible for its use of the Platform and any data inputted or generated from the Platform.

7.3.

Exclusion of Further Warranties

Apart from the warranties contained in these Terms and Conditions and any applicable state or federal law that cannot be excluded, all other warranties, express or implied, and whether arising by virtue of statute or otherwise, are hereby excluded.

7.4.

Independent Warranties

Each warranty in this clause 7 is to be construed independently and is not limited by reference to or interference from any other warranty or provision of these Terms and Conditions.

7.5.

Survival of Warranties

This clause and the warranties shall survive any termination or the expiration of these Terms and Conditions.

8. Indemnity and Liability

8.1.

QuoteShop Indemnity

Subject to the terms of these Terms and Conditions, QuoteShop will indemnify, hold harmless and at all times hold the User fully and effectively indemnified against any losses, costs, actions, claims, demands, expenses, judgments, court orders or other liabilities arising directly out of or in connection with:

8.1.1.

Any breach by QuoteShop of any of its representations, obligations, warranties or undertakings contained in these Terms and Conditions; and

8.1.2.

Any claim that the QuoteShop IP infringes the Intellectual Property Rights of any third party.

8.2.

User Indemnity

Subject to the terms of these Terms and Conditions, the User will indemnify, hold harmless and at all times hold QuoteShop fully and effectively indemnified against any losses, costs, actions, claims, demands, expenses, judgments, court orders or other liabilities arising directly out of or in connection with:

8.2.1.

Any breach by the User of any of its representations, obligations, warranties or undertakings contained in these Terms and Conditions;

8.2.2.

The User’s access to or use of the Platform, any Content, or any QuoteShop IP (including any act or omission of the User’s personnel, contractors or any person using the User’s Account);

8.2.3.

Any claim by the User’s clients, customers or any third party arising out of or in connection with the User’s quotes, pricing, advice, services, or dealings with any Supplier (including any order, supply, delivery, return, refund, warranty claim or dispute), except to the extent caused by QuoteShop’s breach of these Terms and Conditions;

8.2.4.

Any data, information or other content provided by the User to QuoteShop or uploaded to the Platform being unlawful, misleading, defamatory, or infringing the Intellectual Property Rights or other rights of any third party;

8.2.5.

Any infringement by the User of the QuoteShop IP (including in respect of the Platform) or any unauthorised use, modification, reproduction, distribution, reverse engineering, decompilation or other misuse of the Platform or QuoteShop IP.

8.3.

General Indemnity Obligations

8.3.1.

Except for clauses 8.2.4 and 8.2.5, neither Party will be liable to the other for any consequential or indirect loss or damage of any kind arising directly, indirectly, as a consequence of, or in connection with these Terms and Conditions.

8.3.2.

Each indemnity in these Terms and Conditions is a continuing obligation, separate and independent from the other obligations of the Parties, and survives termination or expiration of these Terms and Conditions.

8.3.3.

It is not necessary for a Party to incur expense or to make any payment before enforcing a right of indemnity conferred by these Terms and Conditions.

8.3.4.

All such payments shall be made gross (which would include GST, if applicable), without deduction or withholding of any kind (other than any deduction or withholding required by law) upon demand by the indemnified person.

8.3.5.

The extent of indemnity liability of each Party under this clause 8 is reduced in direct proportion to its contribution to the loss.

8.3.6.

Each Party is liable for its own actions performed under these Terms and Conditions regardless of whether it is performed for or on behalf of another Party.

9. Termination

9.1.

Subscription Term

9.1.1.

The User’s subscription continues for the period covered by the subscription fee paid or payable. At the end of each subscription period, the User’s account and these Terms and Conditions automatically continue for a further period of the same duration as the previous one, provided the User continues to pay the subscription fee in accordance with the applicable pricing plan.

9.1.2.

The User can terminate a subscription at any time by written notice. If the User’s subscription is terminated, no refund is due to the User.

9.2.

Termination for Breach

9.2.1.

A Party may terminate these Terms and Conditions by giving written notice to the other Party with immediate effect if the other Party breaches any provision of these Terms and Conditions and fails to remedy the breach within 7 days after receiving a notice requiring it to do so.

9.2.2.

If the User fails to pay subscription fees, QuoteShop will take reasonable steps to notify the User of the failure. Subject to the processing and payment timing of the User’s bank or credit or debit card provider:

9.2.2.1.

If the User does not pay within 7 days of the date on which the subscription fees became due and payable, QuoteShop may suspend the User’s subscription;

9.2.2.2.

If the User does not pay within 14 days from the date on which the subscription fees became due and payable, QuoteShop may terminate the User’s subscription.

9.2.3.

The User can reactivate the User’s subscription by paying any outstanding subscription fees in full.

9.3.

Consequence of Termination or Expiry

Where these Terms and Conditions expire or are terminated, the following applies:

9.3.1.

The User must immediately stop all use of the QuoteShop IP including the Platform;

9.3.2.

The User must immediately stop all use of any Confidential Information that may have been made available by QuoteShop under these Terms and Conditions;

9.3.3.

At the request of QuoteShop, the User must deliver to QuoteShop all documents, materials and all copies (whatever their form) in the User’s possession which relate to QuoteShop IP and/or the Confidential Information of QuoteShop or at the discretion of QuoteShop delete or destroy the same;

9.3.4.

The User must immediately cease holding itself out or representing itself as a user of the Platform;

9.3.5.

The User must comply with any instructions provided by QuoteShop in relation to the end of these Terms and Conditions;

9.3.6.

No refund is due to the User;

9.3.7.

The Parties are immediately released from their obligations under these Terms and Conditions except those obligations in clauses 4, 5, 7, 8 and this clause 9.3, and any other obligations that, by their nature, survive termination.

10. RENDR DELIVERY PLATFORM

10.1.

Integrated Delivery Services

10.1.1.

QuoteShop has integrated to the Platform a third party delivery services platform operated by Rendr Pty Ltd (Rendr Delivery Platform), which provides Users with the ability to access delivery services in respect of goods supplied by the Supplier through the Platform.

10.1.2.

if the User places an order for goods to be delivered to the Users via the Rendr Delivery Platform, the User acknowledges and agrees that:

10.1.2.1.

the Rendr Delivery Platform is operated by Rendr Pty Ltd and not by QuoteShop, and QuoteShop does not provide, control or assume responsibility for the delivery services provided via the Rendr Delivery Platform;

10.1.2.2.

the User agrees to be bound by and comply with Rendr’s Terms and Conditions as if the User were a “Customer” under those terms and conditions, including in relation to any requirements, restrictions, service levels, policies and processes applicable to Customers using the Rendr Delivery Platform; and

10.1.2.3.

the User will indemnify, hold harmless and at all times hold QuoteShop fully and effectively indemnified against any losses, costs, actions, claims, demands, expenses, judgments, court orders or other liabilities arising directly out of or in connection with any breach by the User of Rendr’s Terms and Conditions, including any claim by Rendr, a Supplier or any other third party relating to or arising from that breach.

11. Miscellaneous

11.1.

Costs on Default

Any Party who defaults in the performance of any obligations under these Terms and Conditions will pay to the other Party who exercises or attempts to exercise any right, power, authority or remedy conferred on that Party under or by virtue of these Terms and Conditions or otherwise the fair and reasonable costs of doing so, whether or not any proceedings in any court or tribunal are taken to protect any such right, power, authority or remedy.

11.2.

Waiver

No waiver by any Party of any default in the strict and literal performance of or compliance with any provision, condition or requirement in these Terms and Conditions will be deemed to be a waiver of strict and literal performance of and compliance with any other provision, condition or requirement of these Terms and Conditions nor to be a waiver of or in any way release any Party from compliance with any provision, condition or requirement in the future nor will any delay or omission of any Party to exercise any right under these Terms and Conditions in any manner impair the exercise of such right accruing to it thereafter.

11.3.

Jurisdiction

These Terms and Conditions will be governed by and construed in accordance with the law of the State of Victoria and each of the Parties hereby submits to the jurisdiction of the Courts of the State of Victoria.

11.4.

Variation

QuoteShop reserves the right to amend these Terms and Conditions at any time in its sole discretion and any such changes will, unless otherwise noted, be effective immediately. Continued use of the Platform after such changes have been notified to the User will constitute acceptance by the User of those changes.

11.5.

Entire Agreement

These Terms and Conditions constitute the sole and entire agreement between the Parties and no warranties, representations, guarantees or other terms or conditions of any nature not contained and recorded therein will be of any force or effect.

11.6.

Severance

Part or all of any clause of these Terms and Conditions that is unenforceable or illegal will be severed from these Terms and Conditions and will not affect the enforceability of the remaining provisions of these Terms and Conditions.

11.7.

Assignment

QuoteShop may assign or permit a third party to obtain the benefit of its rights and interest under these Terms and Conditions without the prior written consent of the User. The User must not assign or permit a third party to obtain the benefit of its rights under these Terms and Conditions except with the prior written consent of QuoteShop.

11.8.

Notices

QuoteShop may provide any notification for the purposes of these Terms and Conditions by email and/or by posting the notification on the Platform.

12. Definitions and Interpretation

12.1.

These Terms and Conditions the words in this clause 11.1 will have the following meanings unless the context otherwise requires:

12.1.1.

Account means the online account that grants the User access to the Platform requiring registration using a user name and password;

12.1.2.

Confidential Information means any information and materials, in any form and including information relating to Intellectual Property Rights, which comes into the possession of either Party which belongs to or relates to or is about the other Party pursuant to or as a result of or in performance of these Terms and Conditions, and commercially valuable information of a Party which a Party regards as confidential to it, which is evident by its nature to be confidential or is identified as being confidential, including without limitation, data, know how, drawings, designs, inventions, techniques, processes, analysis, strategies, research and development data, production know how and in the case of QuoteShop, includes the Platform and the QuoteShop IP, but excluding information:

12.1.2.1.

which at the time of its first disclosure or observation under these Terms and Conditions was in the public domain;

12.1.2.2.

which, after disclosure or observation under these Terms and Conditions, comes into the public domain otherwise than by disclosure in breach of these Terms and Conditions;

12.1.2.3.

which is received by that Party from a third party who has the right to provide the information;

12.1.2.4.

which was already in the possession or knowledge of that Party without restriction prior to its disclosure or observation;

12.1.2.5.

which that Party is required by law to disclose.

12.1.3.

Content means the content, text, data, information, images, pages, materials, tools and results contained on or generated by the Platform.

12.1.4.

Defect means an error in the coding of the Platform or part thereof that affects the inherent operation or functionality of the Platform; Defective is to be similarly construed;

12.1.5.

Improvements mean any development, enhancement or modification of the QuoteShop IP or any part thereof, including without limitation the Platform’s design or functionality that may make the Platform more effective, useful or suitable or would in any other way render the Platform and/or the QuoteShop IP more preferable in commerce including new releases, upgrades and updates to the Platform;

12.1.6.

Intellectual Property Rights means all rights resulting from intellectual activity whether capable of protection by statute, common law or in equity and including copyright, discoveries, inventions, patent rights, registered and unregistered trade marks, design rights, circuit layouts, plant varieties and all rights and interests of a like nature including but not limited to methods and techniques, together with any documentation relating to such rights and interests;

12.1.7.

Party means QuoteShop or the User or both of them as the context dictates;

12.1.8.

Platform means the online platform, including all Intellectual Property Rights subsisting in the platform and any Improvements to the platform, made available by QuoteShop to trades people and suppliers that consists of software applications configured to facilitate the management of the User’s business, including the preparation of quotes and real time ordering of goods and services from Suppliers;

12.1.9.

Rendr's Terms and Conditions means the terms and conditions, policies and other requirements (however described) issued by Rendr Pty Ltd from time to time which govern customers' (or equivalent) access to and use of the Rendr Delivery Platform and the supply and/or arrangement of delivery services through the Rendr Delivery Platform as amended, updated, replaced or substituted from time to time and made available at https://www.rendr.delivery/our-terms or otherwise provided or notified to the User.

12.1.10.

Subscription Term means the period of time specified in the User’s subscription;

12.1.11.

Supplier means a participating supplier or provider of the goods and services which are available for comparison and purchase through the Platform;

12.1.12.

QuoteShop means The Business Channel Pty Ltd trading as 'QuoteShop' (ABN 92 669 522 338);

12.1.13.

QuoteShop IP means Intellectual Property Rights owned by or licensed to QuoteShop and subsisting in the Platform and used or intended to be used in connection with the Platform, including documents, data, manuals, plans, designs, methods and procedures including:

the QuoteShop Trade Marks; and

12.1.13.2.

any other development, enhancement, or modification any part thereof including its design or functionality that may make the Platform more effective, useful or suitable or would in any other way render the Platform more preferable in commerce.

12.1.14.

QuoteShop Trade Marks means the trade marks used by QuoteShop in connection with the Platform and the conduct of its business;

12.1.15.

Terms and Conditions means these terms and conditions of use of the Platform in force and uploaded by QuoteShop to the Platform from time to time;

12.1.16.

User means each individual who accesses or uses the Platform.
